Terms of Service

These Terms of Service ("Terms") govern your access to and use of Truffle, a software service operated by Two Trick Pony Enterprise, a sole proprietorship (*eenmanszaak*) registered in the Netherlands with the Chamber of Commerce under number 89010701, with its registered address at Lloyd Webberhof 15, Utrecht, Netherlands ("Truffle", "we", "us", or "our").

By creating an account, accessing Truffle, or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer"). If you do not have authority to accept these Terms on behalf of an organization, you may not use Truffle on that organization's behalf.

The service

Truffle is a software service that helps teams ask questions about software projects, codebases, documentation, APIs, and other connected sources using natural language.

The service may include integrations with services such as GitHub, Slack, cloud infrastructure providers, and artificial intelligence providers.

The service is provided online. Features may change over time, particularly during beta or early-access periods. We may add, modify, or remove functionality provided that we do not materially reduce the core functionality of a paid service during a current subscription period.

We do not guarantee that Truffle will always be available, uninterrupted, secure, or error-free.

Business use

Truffle is intended for use by businesses and other organizations.

By creating an organization or subscribing to a paid plan, you confirm that you are acting in the course of a business or on behalf of an organization and that you have authority to accept these Terms for that organization.

If you use Truffle on behalf of an organization, that organization is the Customer and is responsible for the use of Truffle by its users.

Accounts and users

You must provide accurate information when creating an account and keep that information reasonably up to date.

You are responsible for maintaining the security of your account credentials and for activity carried out through your account.

An organization administrator may invite other people to use Truffle. The Customer is responsible for ensuring that its users are authorized to access the organization's Truffle account and connected data.

You must not share individual login credentials between people or allow unauthorized people to access an account.

If you become aware of unauthorized access to your account, you should notify us promptly.

Connected services and data sources

Truffle can connect to third-party services and data sources, including repositories, communication platforms, APIs, and other services.

You are responsible for ensuring that you have the necessary rights and permissions to connect those sources to Truffle.

For example, if you connect a GitHub repository, you must have the right to authorize Truffle to access that repository.

When you connect a third-party service, you authorize Truffle to access the information and perform the actions necessary to provide the functionality you requested. The exact permissions depend on the integration.

Third-party services remain governed by their own terms and policies. We are not responsible for changes, outages, limitations, or actions taken by those third-party services.

You can disconnect a source through the functionality provided by Truffle or, where applicable, through the relevant third-party service.

Customer content

You retain ownership of the code, documentation, repositories, messages, files, and other information that you provide to or connect with Truffle ("Customer Content").

You grant us a limited, non-exclusive right to access, copy, process, store, index, transform, and otherwise use Customer Content only as reasonably necessary to:

  • provide and operate Truffle;
  • index and retrieve information from connected sources;
  • generate answers and other requested outputs;
  • maintain, secure, troubleshoot, and improve the service;
  • prevent abuse, fraud, or security incidents; and
  • comply with our legal obligations.

We do not acquire ownership of your Customer Content through your use of Truffle.

We do not sell Customer Content.

We will not use Customer Content to train general-purpose artificial intelligence models unless we separately obtain your permission to do so.

You are responsible for ensuring that Customer Content may lawfully be provided to and processed by Truffle.

Artificial intelligence

Truffle uses artificial intelligence to process questions and generate answers.

AI-generated answers can be incomplete, inaccurate, outdated, misleading, or unsuitable for your particular situation. Truffle does not guarantee the accuracy or completeness of any generated output.

You are responsible for reviewing and validating outputs before relying on them, particularly where they could affect production systems, security, financial decisions, legal obligations, or other consequential matters.

Truffle may use third-party AI providers to process requests. Depending on your organization's configuration, these may include providers such as OpenAI, Anthropic, Google, or other providers we make available.

The availability and handling of data by those providers may be subject to their respective terms and policies.

Bring Your Own Key

Truffle may allow you to connect your own API credentials or accounts for third-party AI providers ("BYOK").

If you provide your own API credentials:

  • you confirm that you are authorized to use those credentials;
  • you are responsible for complying with the applicable provider's terms;
  • you are responsible for charges incurred through your third-party account;
  • you are responsible for the permissions and limits associated with those credentials; and
  • you must not provide credentials that you are not authorized to use.

We will use credentials you provide only as necessary to provide the functionality you request.

You remain responsible for determining whether a particular AI provider is appropriate for your organization's data and requirements.

Acceptable use

You must not:

  • use Truffle to violate applicable law or the rights of others;
  • access data, repositories, accounts, or systems without authorization;
  • attempt to gain unauthorized access to Truffle or its infrastructure;
  • interfere with or disrupt the service;
  • intentionally introduce malware or other harmful code;
  • abuse APIs, rate limits, or other technical restrictions;
  • use Truffle to circumvent security controls;
  • reverse engineer, decompile, or attempt to extract the source code of Truffle, except where applicable law expressly permits this;
  • use Truffle to develop or operate a competing service by systematically copying or extracting its functionality or data; or
  • allow unauthorized people to use your organization's account.

We may suspend or restrict access where reasonably necessary to prevent abuse, protect the service or its users, or comply with the law.

Intellectual property

Truffle, including its software, interface, branding, documentation, underlying technology, and other materials provided by us, remains our property or the property of our licensors.

Except for the limited right to use Truffle under these Terms, these Terms do not grant you any ownership rights in Truffle.

You retain ownership of your Customer Content.

If you provide suggestions, ideas, feedback, or other comments about Truffle, you grant us permission to use that feedback without restriction or compensation, provided that we do not disclose your confidential information in doing so.

Plans and billing

Truffle may offer free, trial, beta, or paid plans.

The features, limits, prices, included usage, and billing terms applicable to a plan are those presented when you subscribe or otherwise communicated to you by us.

Paid subscriptions are billed in advance or according to the billing arrangement presented at checkout.

Where Truffle charges based on usage, usage may be measured using metrics such as requests, tokens, storage, connected sources, users, or other measurable units described in the applicable plan.

You are responsible for applicable taxes, duties, or similar governmental charges, except taxes based on our income.

Unless required by applicable law, payments are non-refundable.

Cancellation

You may cancel a paid subscription at any time through the available account or billing functionality.

Unless otherwise stated when you subscribed, cancellation takes effect at the end of the current paid billing period. You may continue to use the paid functionality until that time.

We may suspend or terminate an account if you materially breach these Terms, fail to pay amounts due, misuse the service, or create a security, legal, or operational risk.

Where reasonably possible, we will give you notice and an opportunity to resolve the issue before terminating your account, except where immediate action is necessary.

Data after termination

After termination or cancellation, your right to use Truffle ends.

We may delete Customer Content and account information associated with your organization after termination, subject to our legal obligations, legitimate business records, backups, and our applicable Privacy Policy or Data Processing Agreement.

You are responsible for exporting any data you need before your account is terminated.

Where technically and commercially reasonable, we may provide a limited period during which you can retrieve your data. This is not guaranteed unless explicitly included in your plan or a separate agreement.

Confidentiality

Each party may receive confidential information belonging to the other party in connection with the service.

The receiving party will use reasonable care to protect confidential information and will not disclose it except to its employees, contractors, service providers, or advisers who need to know it and are subject to appropriate confidentiality obligations, or where disclosure is required by law.

Customer Content is treated as confidential information.

This section does not apply to information that is publicly available, was already lawfully known to the receiving party, is independently developed without use of confidential information, or is lawfully received from another source without a duty of confidentiality.

Privacy and personal data

Our processing of personal data is described in our Privacy Policy.

Where we process personal data on behalf of a Customer as a processor under applicable data protection law, the processing will additionally be governed by a Data Processing Agreement ("DPA") where required.

The Customer remains responsible for determining whether and how personal data may be connected to Truffle and for providing any required notices or obtaining any required permissions from its users.

Where Truffle processes Personal Data on behalf of the Customer in connection with the Services, the Data Processing Agreement ("DPA") applies. The DPA forms part of these Terms and governs the parties' respective rights and obligations with respect to such processing. In the event of a conflict between the DPA and these Terms regarding the processing of Personal Data, the DPA prevails to the extent of that conflict.

Security

We take reasonable technical and organizational measures designed to protect Truffle and Customer Content against unauthorized access, loss, misuse, or alteration.

However, no online service can guarantee absolute security.

You are responsible for using appropriate security practices, including protecting your account credentials, API credentials, connected accounts, and devices.

Third-party services

Truffle relies on third-party infrastructure and services to operate.

These may include hosting providers, payment providers, AI providers, source-code providers, communication platforms, analytics providers, and other service providers.

We may change these providers from time to time.

We are not responsible for the availability, performance, security, content, or policies of third-party services outside our reasonable control.

Disclaimers

To the maximum extent permitted by applicable law, Truffle is provided on an "as is" and "as available" basis.

We disclaim warranties and guarantees that are not expressly stated in these Terms, including guarantees regarding uninterrupted availability, error-free operation, accuracy of AI-generated output, or suitability for a particular purpose.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.

Limitation of liability

To the maximum extent permitted by law, Two Trick Pony Enterprise will not be liable for:

  • indirect or consequential loss;
  • loss of profits, revenue, business, or anticipated savings;
  • loss of goodwill or reputation;
  • loss or corruption of data where reasonable backup or export measures were available to you; or
  • losses arising from your use of or reliance on AI-generated output.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to Truffle or these Terms will not exceed the fees paid by the Customer to us for Truffle during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Two Trick Pony Enterprise against claims, losses, damages, and reasonable costs arising from:

  • your unlawful use of Truffle;
  • your violation of these Terms;
  • your unauthorized access to or use of third-party systems;
  • Customer Content that infringes another person's rights; or
  • your violation of applicable law.

This does not apply to the extent a claim results from our own breach of these Terms or unlawful conduct.

Changes to the service and these Terms

We may update Truffle and these Terms from time to time.

If we make a material change to these Terms, we will provide reasonable notice where appropriate, for example by posting an updated version on our website or notifying account administrators.

The updated Terms will take effect on the date stated in the updated Terms.

If you continue to use Truffle after the effective date, you accept the updated Terms.

Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent, except as part of a merger, acquisition, reorganization, or transfer of substantially all of your business or assets.

We may transfer these Terms as part of a merger, acquisition, restructuring, or sale of the business or substantially all of its assets.

Entire agreement

These Terms, together with any applicable order, plan details, DPA, and other agreements expressly incorporated into them, form the agreement between you and Two Trick Pony Enterprise regarding Truffle.

If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will take precedence.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.

Governing law and jurisdiction

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or Truffle will be submitted to the competent courts in the Netherlands, unless mandatory law provides otherwise.
